End User License Agreement
Last updated: October 14, 2026
This End User License Agreement ("EULA") is a binding agreement between you, or the organization you represent ("you"), and Batch Studios Inc. ("Batch", "we", "us", or "our"), governing your installation and use of the following software and any associated components, updates, and documentation (collectively, the "Software"): the Batch Portal desktop application; Batch for ComfyUI, the custom node pack for ComfyUI named "Batch: Roto, Depth & Upscale" (package batch-film-nodes); Batch Manager, Batch's Workflow Integration plug-in for DaVinci Resolve Studio; and any reference client Batch provides for the Batch API.
You accept this EULA by signing it, or by installing, copying, or using the Software, whichever occurs first. If you do not agree, do not install or use the Software. The Software is used to access or work with the Batch rotoscoping, depth, and upscaling services, including the Batch API (the "Services"), and your use of those Services is also governed by our Terms of Service and Privacy Policy.
1. License grant
Subject to your compliance with this EULA, the Terms of Service, and any signed Master Services Agreement or order form between you and Batch (a "Signed Agreement"), Batch grants you and your authorized users a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices owned or controlled by you or your authorized users, including workstations, servers, render nodes, and virtual machines or containers that you control, for your internal business purposes. The Software is licensed for use across your organization. Your plan or Signed Agreement may limit how many people can be members of, or be invited to, your workspace ("seats") and how many jobs can run at the same time. Those limits, your usage, and your fees (including any usage-based charges) are governed by your plan or Signed Agreement.
2. License restrictions
You may not, and may not permit any third party to:
- Copy, modify, or create derivative works of the Software, except as expressly permitted.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent this restriction is prohibited by applicable law.
- Rent, lease, lend, sell, sublicense, distribute, or otherwise make the Software available to any third party.
- Remove, alter, or obscure any proprietary notices on the Software.
- Circumvent or disable any license, security, or access-control mechanism.
- Use the Software to build or support a competing product or service, or to benchmark it for that purpose.
3. Ownership
The Software is licensed, not sold. Batch and its licensors retain all right, title, and interest in and to the Software, including all related intellectual-property rights. This EULA grants you no rights other than the limited license expressly stated. The Software may include third-party or open-source components that are licensed under their own terms. The applicable notices and licenses are or will be made available within the Software, its documentation, or on written request to legal@batch.film. In the event of a conflict, those third-party or open-source license terms govern their respective components. ComfyUI and DaVinci Resolve Studio are not part of the Software. They are third-party software, licensed to you by their own providers under their own terms (see Sections 15 and 16).
4. Updates
Batch may provide updates, upgrades, patches, or new versions of the Software from time to time, and the Software may download and install them automatically. Updates to Batch for ComfyUI are published through the Comfy Registry, and you install them through ComfyUI Manager or the Comfy command-line tool. Updates are part of the Software and are governed by this EULA unless accompanied by separate terms, in which case those terms apply to the update. Batch is not obligated to provide updates or to continue supporting any prior version. Batch may require a minimum version of the Software to use the Services and may stop accepting jobs from older versions until you update.
5. Your Content, data handling, and no training
Your use of the Software to submit footage and other content to the Services is governed by the Terms of Service and Privacy Policy. In particular:
- You retain ownership of the content you submit, and you own the outputs the Services generate from it.
- Batch does not use your content to train, fine-tune, or improve any machine-learning model unless you and Batch have expressly agreed otherwise in a signed training agreement, does not use it for any purpose other than providing the Services to you, and does not transmit it to any third-party artificial-intelligence provider.
- Batch Roto and Batch Depth are non-generative: they output segmentation mattes and depth maps and do not synthesize, generate, or alter picture content. Batch Upres creates a higher-resolution version of your footage by estimating fine image detail, so its output is a modified copy of your picture.
- Batch does not maintain a permanent archive of client footage. How long footage, outputs, and other data are kept is set out in the Privacy Policy, and client footage can be purged more quickly on written request.
- Batch for ComfyUI and Batch Manager run on your own computers. What they store locally and what they send to Batch is described in the Privacy Policy. Batch Manager does not upload your footage, mattes, or project data to Batch.
6. Confidentiality and security
The Software and any non-public information Batch makes available through it are Batch's Confidential Information and are protected under the confidentiality and data-security provisions of the Terms of Service. You agree not to disclose or use them except as permitted by this EULA and the Terms of Service.
7. Term and termination
This EULA is effective until terminated. Your license terminates automatically if you breach this EULA. It also ends when your right to use the Services ends: when your account is closed or terminated, or when your Signed Agreement ends and no plan replaces it. The end of a paid subscription does not by itself end this EULA. If your workspace moves to the Free plan, you may keep using the Software under it. Some Software, such as Batch Manager, performs its checks locally without contacting Batch and may keep running after this EULA ends; that does not extend your license. On termination, you must stop using the Software, uninstall it, and delete all copies in your possession or control. Sections that by their nature should survive (including ownership, restrictions, confidentiality, disclaimers, limitation of liability, and governing law) survive termination.
8. Disclaimer of warranties
EXCEPT AS EXPRESSLY STATED IN A SIGNED AGREEMENT, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BATCH DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BATCH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SOFTWARE. BATCH'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE IS SUBJECT TO, AND FORMS PART OF, THE LIMITATION OF LIABILITY AND THE EXCLUDED CLAIMS SET OUT IN THE TERMS OF SERVICE.
10. Export compliance
You represent that you will comply with all applicable export-control and sanctions laws, including those of the United States. You may not use or export the Software in violation of those laws, you are not located in a country or territory subject to comprehensive U.S. sanctions, and you are not a person with whom dealings are prohibited under applicable denied-party or sanctions lists.
11. U.S. Government end users
The Software is "commercial computer software" and "commercial computer software documentation" as those terms are used in the Federal Acquisition Regulation and applicable agency supplements. U.S. Government end users acquire the Software with only those rights set out in this EULA.
12. Governing law
This EULA is governed by the laws of the State of New York, U.S.A., without regard to its conflict-of-laws principles, and disputes will be resolved as set out in the Terms of Service. A Signed Agreement may specify a different governing law or forum, in which case that agreement controls.
13. Relationship to other agreements
This EULA supplements the Terms of Service and Privacy Policy. In the event of a conflict, the order of precedence is: (1) a Signed Agreement, (2) the Terms of Service, (3) this EULA, and (4) the Privacy Policy. Together these constitute the entire agreement between you and Batch regarding the Software.
14. Pre-release and beta software
From time to time Batch may make the Software, or features within it, available on a beta, preview, or early-access basis, and will identify such Software or features as beta, preview, pre-release, or similar ("Pre-Release Software"). Pre-Release Software is provided for evaluation only, on an "as is" and "as available" basis, may contain errors, may change materially or be withdrawn at any time, and is not covered by any service-level, uptime, or support commitment, whether or not one applies to the generally available Software. Batch may collect feedback and usage information about Pre-Release Software to improve the Services, and you will treat the existence, features, and performance of any non-public Pre-Release Software as Batch's Confidential Information. Your other obligations under this EULA, including the data-handling and no-training commitments referenced in Section 5, continue to apply to Pre-Release Software.
15. Batch for ComfyUI
15.1 Distribution. Batch for ComfyUI is distributed through the Comfy Registry and ComfyUI Manager, which are operated by third parties, under the publisher name batchfilm. Install it from that listing or from a package Batch provides to you.
15.2 ComfyUI. ComfyUI is third-party open-source software. It is not part of the Software, it is licensed to you under its own license, and Batch does not control, maintain, or support it. Batch for ComfyUI may stop working, in whole or in part, if ComfyUI, the Comfy Registry, or ComfyUI Manager changes.
15.3 Your environment. You are responsible for your ComfyUI environment, including its version, the other custom nodes you install, the computers and networks it runs on, and who can reach it. Other custom nodes run in the same ComfyUI and may be able to read your API Key, so install only nodes you trust. Anyone who can use a ComfyUI installation that holds your API Key can submit jobs and use your credits.
15.4 How it works. Batch for ComfyUI stores your API Key in your operating system's credential store, or reads it from an environment variable you set, and never writes the key into a workflow. Every job it submits carries a credit ceiling, which you can change. It saves results to the computer running ComfyUI.
15.5 Source code. You may modify the source code of Batch for ComfyUI for your own internal use. Batch does not support modified versions, and Section 2 otherwise applies.
15.6 As is. Batch for ComfyUI is provided "as is" as described in Section 8.
16. Batch Manager
16.1 What it does. Batch Manager is a Workflow Integration plug-in for DaVinci Resolve Studio. It imports a finished Batch delivery that you have downloaded and attaches each matte to its matching clip, using the matte's metadata. It does not create mattes or submit jobs, and it does not upload your footage, mattes, or project data to Batch. It checks deliveries locally on your computer and does not use a license server.
16.2 DaVinci Resolve Studio. DaVinci Resolve Studio is a product of Blackmagic Design. It is not part of the Software, and you are responsible for obtaining and complying with your own license for it. Batch Manager requires DaVinci Resolve Studio and does not run in the free version of DaVinci Resolve. Batch Manager may stop working, in whole or in part, if Blackmagic Design changes DaVinci Resolve Studio or its support for Workflow Integration plug-ins.
16.3 No affiliation. DaVinci Resolve and DaVinci Resolve Studio are trademarks of Blackmagic Design Pty. Ltd. Batch is not affiliated with, endorsed by, or sponsored by Blackmagic Design.
16.4 Your review. You are responsible for checking Batch Manager's results in your project before you rely on them.
