Indie Training Data Agreement

This Indie Training Data Agreement (the "Agreement") is a binding agreement between you, or the organization you represent ("you"), and Batch Studios Inc. ("Batch", "we", "us", or "our"). It applies only while your account is subscribed to the Batch Indie plan, and it governs Batch's use of the footage and other content you submit on that plan to develop and improve Batch's machine-learning models. You accept this Agreement by checking the acceptance box and subscribing to the Indie plan.

Indie is the only Batch plan on which Batch trains its models using your content. On Batch's other plans, Batch's standard no-training commitments in the Terms of Service, Privacy Policy, and End User License Agreement ("EULA") continue to apply in full. Defined terms used but not defined here have the meanings given in the Terms of Service.

This Agreement applies only while your account is subscribed to the Indie plan. It supplements the Batch Terms of Service, Privacy Policy, and EULA, and, solely for Indie subscribers and Indie Content, it supersedes and replaces the no-training and no-secondary-use provisions of those documents (Terms of Service Section 6.3, Privacy Policy Sections 3 and 4, and EULA Section 5). For all other plans, and for any content not submitted while on the Indie plan, Batch's standard no-training commitments continue to apply in full. For purposes of the order of precedence in the Terms of Service, this Agreement is a Signed Agreement and controls over a conflicting provision in the Terms of Service, EULA, or Privacy Policy.

"Indie Content" means any footage, frames, images, audio, metadata, and other content you submit to the Services while your account is on the Indie plan, together with the mattes, masks, depth maps, splines, and other outputs Batch generates from it.

You grant Batch a non-exclusive, irrevocable, perpetual, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to host, store, reproduce, modify, create derivative works from, analyze, and otherwise use Indie Content to develop, train, fine-tune, evaluate, validate, benchmark, and improve Batch's machine-learning models, algorithms, datasets, and related technology (collectively, "Model Development"). This license is in addition to the service-delivery license in Section 6.1 of the Terms of Service.

Even though Batch may use Indie Content for Model Development, Batch will not:

Only models and other derived data (never your raw footage) result from and leave the Model Development pipeline.

You represent and warrant that you own or have obtained all rights, licenses, consents, releases, and permissions necessary to submit Indie Content and to grant the license in Section 3, including all rights of publicity and likeness of every person appearing in the content, all music synchronization and master-use rights, and all other third-party intellectual-property rights; and that Indie Content, and Batch's use of it for Model Development, do not and will not infringe, misappropriate, or violate any third-party right or any law.

You will defend, indemnify, and hold harmless Batch and its affiliates, officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your breach of any representation, warranty, or obligation in this Agreement, or (b) any claim that Indie Content, or Batch's use of it for Model Development, infringes, misappropriates, or violates a third party's rights. This is in addition to your indemnification obligations in Section 12 of the Terms of Service.

You retain all right, title, and interest, including copyright, in and to your raw footage. Batch owns all right, title, and interest in the models, model weights, embeddings, learned parameters, datasets, and other derived data created through Model Development, and you have no ownership interest in them. You acknowledge that trained model weights do not contain, store, or reconstitute your raw footage in any recoverable form. The license in Section 3 and Batch's rights in any model trained on Indie Content are irrevocable and survive the cancellation or downgrade of your subscription, the termination or deletion of your account, and the deletion of any Indie Content. Batch has no obligation to remove Indie Content from, retrain, or otherwise alter any model that has already been trained, and deletion of content from Batch's active systems does not affect Batch's rights under this Agreement.

Content you submit while on the Indie plan remains subject to this Agreement permanently. If you move off the Indie plan, content you submit afterward is governed by Batch's standard no-training terms; this does not revoke Batch's rights in Indie Content already submitted.

Model outputs are generated for many customers and may not be unique, and Batch makes no warranty that outputs derived from any model will be unique to you. Except as expressly stated in this Agreement, the warranty disclaimers and the limitations of liability in the Terms of Service (including the General Cap and the Enhanced Cap) apply to this Agreement.

You accept this Agreement by checking the acceptance box and subscribing to the Indie plan. Batch records the version and timestamp of your acceptance. Batch may update this Agreement for content submitted after an update becomes effective, and material changes will require renewed acceptance.
